Umair Karowadia is a business and tax lawyer who advises middle-market businesses, family offices, and high-net-worth individuals on a wide range of legal and strategic matters, with a particular focus on mergers and acquisitions, tax planning/structuring, general corporate counseling, and succession planning. Umair’s practice encompasses all stages of the business life cycle, from formation and restructuring to strategic transactions and exit planning.

Drawing on a strong foundation in tax law, Umair regularly structures tax-efficient transactions—including equity and asset sales, tax-free reorganizations, and joint ventures—and advises clients on entity formation, governance, and recapitalizations. Umair counsels closely held and family-owned businesses on succession planning, ownership transitions, and business separations. He also advises high-net-worth individuals on intergenerational planning and the integration of business succession with broader wealth transfer goals.

In his M&A practice, Umair represents both buyers and sellers across a range of industries, including retail, manufacturing, oilfield services, real estate, construction, and professional services. Umair has substantial experience advising family offices in connection with acquisitions, investments, and general corporate matters. Umair also works closely with owners, CFOs, in-house counsel, CPAs, and other advisors to navigate complex business, tax, and legal issues and advises on day-to-day legal matters, commercial contracts, and long-term strategic initiatives.
