Senior Business & Tax ATtorney

Foster Swift Collins & Smith, PC is looking to add experienced business attorneys with an established client base to its Southfield office. 

The ideal candidate will have a proven track record of handling simple to sophisticated business and corporate matters, developing strong client relationships, and the ability to contribute to the firm’s growth. This is a great opportunity for an attorney to be part of a collaborative team in a growing firm.  Candidate must have extensive experience with at least two of the following areas: business formation and planning, corporate governance, general counsel, M&A, corporate tax issues, cybersecurity, contract review and intellectual property.

Applicants should have a minimum of seven years of business and tax law experience in private practice with experience taking responsibility for client matters and possessing a proactive approach in bringing in new clients

Position responsibilities include:

  • Provide first-rate legal counsel to business owners and executives on business and corporate law matters, address legal issues at every stage of the business life cycle including entity formation, compliance, contracts, general corporate governance as well as mergers and acquisitions.
  • Maintain and expand client relationships while managing an existing book of business.
  • Collaborate with other attorneys and practice groups to enhance service offerings and cross-market legal services.
  • Identify and pursue business development opportunities to grow the firm’s client base.
  • Mentor junior associate attorneys and contribute to the firm’s strategic initiatives.
  • Communicate complex information (written and oral) to stakeholders with a wide array of expertise in an accessible way.
  • Stay updated on current business and tax laws and regulations.
  • Deliver high-level client service.

Required qualifications include:

  • 7+ years’ experience in business and tax law
  • JD from an accredited law school
  • Admitted to State Bar of Michigan and be in good standing
  • Established transferable business required (at least $400,000 annual)
  • Excellent writing, legal research, communication and interpersonal skills
  • Strong organizational skills with the ability to manage a busy caseload, work under pressure, meet deadlines and pay attention to detail
  • Ability to work independently and collaboratively within a team
  • Exceptional client service and business development skills

Business & Tax Law - Associate Attorney

Foster Swift Collins & Smith, PC is looking to add associate attorneys to its growing business and tax practice. We have an open position in both Grand Rapids and Lansing offices, with a hybrid work policy available following a successful period of in-person training.

This is an exceptional opportunity for an attorney to be part of a collaborative team in a fast-paced environment.  Successful applicant will be supporting senior attorneys in the business and tax practice group on a variety of corporate and tax matters, including contract drafting, business and tax planning, compliance, and transactional support. requiring a strong understanding of business law, tax regulations, and the ability to effectively research and analyze complex legal issues.

Candidates should have experience with a wide range of business formation and governance, corporate transactions, M&A, securities, investments, and joint ventures and desire to collaborate with others in the business and tax group to achieve the best possible results for our clients. Applicants should have a minimum of three years of business and tax law experience.

Position responsibilities include:

  • Assist in preparing strategic legal advice to clients on business formation, structuring, mergers and acquisitions, joint ventures, and other corporate transactions
  • Conduct in-depth client research and prepare client memos on a wide range of business and tax topics and prepare legal opinions and client memos.
  • Draft and review a variety of business contracts, including operating agreements, shareholder agreements, employment contracts, vendor agreements, and lease agreements to ensure legal compliance and alignment with client objectives
  • Monitor and advise clients on tax compliance issues, including tax audits and disputes. 
  • Communicate complex information (written and oral) to stakeholders with a wide array of expertise in an accessible way
  • Stay updated on current tax laws and regulations
  • Manage assigned legal matters from inception to completion, including communication with clients, internal team members, and opposing counsel.
  • Deliver exceptional client service and maintain high professional standards.

Required qualifications include:

  • JD from an accredited law school
  • Admitted to State Bar of Michigan and be in good standing
  • Minimum of 3 years of experience in corporate/business law at a law firm or in-house legal department.
  • Strong understanding of business law principles, including corporate governance, contracts, and securities regulations. 
  • Knowledge of federal and state tax laws, including corporate tax, individual tax, and partnership tax. 
  • Excellent writing, legal research, communication and interpersonal skills Strong professional judgment, analytical, problem-solving, and decision-making skills
  • Ability to work independently and collaboratively with a team
  • Strong work ethic with record of being proactive and resourceful
  • Strong organizational skills with the ability to manage a busy case load, work under pressure, meet deadlines and pay attention to detail

Candidates should have experience appearing before municipal and state administrative agencies concerning real estate matters.  Applicants should have a minimum of seven years of experience in private practice with experience taking responsibility for client matters and possessing a pro-active approach in bringing in new clients.
